LICENSE AGREEMENT

!!! READ THIS AGREEMENT CAREFULLY. THIS IS LEGAL AGREEMENT BETWEEN GZScripts LTD AND YOU ("YOU", ''YOUR”) ACTING AS AN INDIVIDUAL OR, IF APPLICABLE, ON BEHALF OF THE INDIVIDUAL OR COMPANY. BY CLICKING THE "I ACCEPT" BOX AND DOWNLOADING THE UNDERLYING SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT ("AGREEMENT") AND, TO THE EXTENT THAT YOU ARE ACTING ON BEHALF OF A COMPANY, THAT YOU HAVE THE AUTHORITY TO BIND SUCH COMPANY. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT SELECT THE "I've read and agree with Licence agreement" BOX AND DO NOT PURCHASE, DOWNLOAD, INSTALL OR USE THE LICENSED SOFTWARE. YOU HAVE NOT BECOME A LICENSEE OF, AND YOU ARE NOT AUTHORIZED TO INSTALL OR USE THE SOFTWARE UNLESS YOU AGREE TO THIS AGREEMENT. ANY USE OF THE LICENSED SOFTWARE, AND ANY RESALE OR FURTHER DISTRIBUTION OF THE LICENSED SOFTWARE, OTHER THAN AS EXPRESSLY AUTHORIZED BY THIS AGREEMENT, CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT AND MAY VIOLATE APPLICABLE COPYRIGHT LAWS.

"Licensed Software" shall mean any and all files produced provided by GZScripts LTD, including, but not limited to PHP scripts, website components, source code, modules, updates, upgrades, or modifications thereto. "Licensed Developer" shall mean a Developer who has been licensed to use the Licensed Software under the Developer License. "End Customer" shall mean a third-party who is authorized by Licensed Developer to use an installed copy of the Licensed Software solely for ordinary business use and not for distribution or sale.

Under the Developer License the Licensed Developer may:

  • install an unlimited number of instances of the Licensed Software on their own or their End Customers websites;
  • private label the Licensed Software with their own logo and modify the styles, colours;
  • remove the GZScripts Copyright Notice in the source code;
  • modify the functionality and features, make their own changes to the source code, the design and the features.

Under the Developer License the Licensed Developer shall not:

  • insert "Copyright by YourCompany" title or in any other way state that you own the copyright of the Licensed Software.
  • digitally transmit or make available the Licensed Software or its source code through local networks, intranets, extranets, FTP, online discussion boards, forums, list-serve, peer-to-peer networks or technologies, newsgroups, bulletin boards, or any other mode of shared communication system, or place the Software onto a server so that it is accessible via a public network such as the Internet; use the Software in any way that violates these terms and conditions or any law; or authorize or assist any third party to do any of the things described in this section;
  • advertise, promote and/or market the Licensed Software, show its interface and/or functionality to potential customers or end-users, including but not limited to Demo presentations, web pages, video or other multimedia explaining the Licensed Software features, and present the 'look and feel' of the Licensed Software, if not licensed under the Extended Developer License.

This License Agreement is governed by the laws of European Union. Both the Licensed Developer and GZScripts submit to the jurisdiction of the courts of European Union

TECHNICAL SUPPORT UNDER DEVELOPER LICENSE

Free technical support and single installation is provided by GZScripts. GZScripts is obligated to provide technical support only to Licensed Developer but not to any End Customer. GZScripts provides technical support only via a support ticket system.

GZScripts may choose at its sole discretion to void technical support on modified Software. Modification of the Software may make it impossible to upgrade with any releases we may offer in the future.

This License may be modified by the GZScripts LTD at any time. The new version of the License becomes valid when published on this website. You are encouraged to regularly check back for License updates.

Once a product is downloaded by a client we cannot issue a refund. All sales are final and non-refundable. By completing Your purchase of the Licensed Software, you agree that you are purchasing digital, non-tangible goods and as such are not entitled to a refund. Prior to ordering, please, make sure you have carefully read and understood the product's system requirements and features. If you are not sure about product compatibility, or have questions about its features, please contact our Support Center. All inquiries are free of charge.

GOVERNING LAW
You agree that this Agreement shall be governed in all respects by the laws and courts of the Republic of Bulgaria. The contracting parties agree that all disputes arising from and regarding the Agreement will be resolved by common efforts of the parties. In case that the common consent can be obtain, any claim or dispute You may have against GZ Scripts must be resolved by a court located in the Republic of Bulgaria. If any provision of this Agreement is held to be invalid or unenforceable, this Agreement shall be construed without such provision and the balance of the Agreement will remain in full force and effect. The failure by a party to exercise any right herein shall not operate as a waiver of such party's right to exercise such right or any other right in the future.
